Escalation Clauses in Construction Contracts: Fair vs Unfair Terms

Umashankara A

An escalation clause is the part of a construction contract that decides who pays when material or labour costs rise during the build. Most homeowners in Mysuru sign their agreement without reading this clause carefully, and it is often the single biggest reason a project that started at one figure ends at a very different one. The way a builder drafts this clause tells you a great deal about them, which is why the top builders in Mysuru treat it as a trust document rather than a loophole.

This article explains what a fair escalation clause looks like and the specific wordings that should worry you. Where it helps, we use the published practices of Uniq Builders, working across Mysuru and five other cities since 2009, as a worked example you can compare other builders against.

What an escalation clause actually does

Construction takes months, and steel, cement, sand and labour rates can all move in that time. An escalation clause defines whether the contract price stays fixed, moves with costs, or moves under specific conditions. There are three broad models you will see in Mysuru:

  • Fixed price: the rate you sign is the rate you pay, provided the scope does not change. The builder absorbs cost movements.
  • Indexed escalation: the price can adjust, but only by a formula tied to published rates or documented invoices, and often only for named materials such as steel and cement.
  • Open escalation: the contract says something like “rates subject to revision as per market conditions”. This is not really a clause. It is a blank cheque.

None of these models is automatically dishonest. The problem is vagueness, because vague words always get interpreted in favour of the person who wrote them.

What makes an escalation clause fair

A fair clause has four properties, and you can check each one with the draft agreement in front of you.

It is specific about triggers. It names the materials it covers, the threshold that activates it, such as a rise beyond a stated percentage, and the evidence required, such as supplier invoices or published index rates. If any cost rise of any size can trigger a revision, the clause is not fair.

It works in both directions. If steel prices can push your bill up, a falling market should bring it down. One-way escalation exists to extract, not to share risk.

It has a cap. Serious builders are willing to state a maximum escalation for the project. A clause with no ceiling suggests the job was never properly estimated, or that the builder intends to re-price it later.

It is separate from scope changes. Escalation covers market movement on the agreed scope. If you upgrade tiles or add a room, that is a variation, priced and signed separately. Contracts that blur the two let a builder disguise scope charges as “market escalation” and vice versa.

The cleanest arrangement of all is a written specification with package pricing. When materials and finishes are written down against a per square foot rate, there is very little room for a surprise later. This is how Uniq Builders structures its construction packages: Premium from ₹1,999 per sq ft, Gold from ₹2,499 and Platinum from ₹2,999 as starting rates, each backed by a written specification shared during consultation, with the final figure confirmed after a free site visit. Terms and conditions apply, but they are terms you can read before you commit.

The unfair terms to watch for

These wordings should make you pause, whichever letterhead they appear on.

  • “Rates subject to change as per prevailing market conditions.” No trigger, no evidence, no cap. Ask for it to be rewritten or removed.
  • Escalation on labour “as applicable”. Labour is the builder’s core competence. A builder with engineers, architects, surveyors and craftsmen on their own payroll, as Uniq Builders keeps for its in-house architecture, structure, interiors and construction work, is far better placed to control this cost and commit to it. A builder who subcontracts everything cannot, and passes the uncertainty to you.
  • Escalation that runs from the signing date regardless of schedule. If the builder’s own slow progress pushes the project into a costlier season, you should not fund that delay. A fair contract ties escalation exposure to the agreed timeline.
  • Site conditions folded into escalation. Rock excavation, extra foundation depth or imported filling earth are site realities, not market movements, which is why a serious residential construction firm insists on inspecting your plot first. Uniq Builders quotes these three items separately after its free site visit, so they never appear later dressed up as escalation.
  • No documentation requirement. If the builder can revise rates without showing invoices or a published index, you have no way to verify anything.

How top-tier builders handle it differently

The pattern across well-run firms is consistent: risk is measured before signing rather than argued about after.

That means a detailed site visit before the quote, so ground conditions are priced in advance. It means a written specification, so “market escalation” cannot be used to swap materials downward. It means variations documented and signed as they arise, not settled in a lump at handover. And it means someone accountable by name; you can see who leads Uniq Builders and reach the office directly through Umashankara A, Proprietor and Managing Director.

It also means ancillary costs are stated honestly. In every Uniq Builders package, plan sanction, khata, licences and utility connections are handled by the company with free assistance for government licensing work, while statutory fees are paid directly by the client. That line alone removes a whole category of “extras” that vaguer contracts spring on owners mid-build.

Before you sign with anyone, put three draft contracts side by side and read only the escalation and variation clauses. Our guide series on choosing among the top builders in Mysuru covers the other clauses worth the same scrutiny.

Frequently asked questions

Is a fixed-price construction contract always better than one with an escalation clause?

Not always. A fixed price backed by a written specification is safest for a typical home build. On very long or unusual projects, a capped, two-way escalation clause can be fair to both sides, provided it names its triggers and requires documentary evidence.

Can a builder in Mysuru increase the agreed rate after the contract is signed?

Only if the contract permits it, which is why the escalation clause matters so much. If the clause is specific, the increase must follow its stated formula and evidence. If you signed a vague “market conditions” clause, you have little protection, so negotiate the wording before signing, not after.

What about rock excavation or extra foundation depth? Is that escalation?

No. These are site conditions, and a professional builder identifies them through a site inspection and quotes them separately before or at signing. Uniq Builders assesses this during a free site visit and quotes rock excavation, additional foundation depth and imported filling earth as separate line items, never as mid-project escalation.
